Windows Server 2025 OEM Licensing – Downgrade Rights to Windows Server 2022 on Proxmox Hypervisor Environment

We need clarification regarding the correct licensing procedure for exercising Windows Server downgrade rights.

Licensing

Product: Windows Server 2025 Standard OEM (COEM)

Total purchased: 80 Core licenses

Physical servers: 5 Intel servers

Licensing correctly assigned to the physical hardware according to Microsoft's core licensing requirements.

Infrastructure

Hypervisor: Proxmox VE

The physical hosts run Proxmox only.

Windows Server is installed exclusively as guest virtual machines.

Issue

The customer's applications are currently certified only for Windows Server 2022.

Although the customer has legally purchased Windows Server 2025 OEM licenses, they need to deploy Windows Server 2022 virtual machines under the downgrade rights included with the Windows Server 2025 OEM licenses.

However, Windows Server 2022 virtual machines cannot be activated using the Windows Server 2025 OEM product keys supplied with the servers.

Questions

We would appreciate clarification on the following points:

What is the official Microsoft procedure for exercising downgrade rights from Windows Server 2025 OEM to Windows Server 2022?

Since the virtualization platform is Proxmox (non-Hyper-V), what is the supported activation method for the downgraded Windows Server 2022 virtual machines?

Is the OEM key provided with Windows Server 2025 expected to activate Windows Server 2022 directly, or is a different activation process required?

If a replacement product key is necessary, how should the customer obtain it?

Is telephone activation required for this scenario?

Is it necessary to contact the OEM hardware manufacturer, or can Microsoft provide the required downgrade activation support directly?

Additional Information

The licenses are genuine OEM licenses acquired together with the servers.

Licensing assignment to the physical hosts complies with Microsoft's licensing rules.

The customer is not requesting additional licenses, only to exercise the downgrade rights granted by the Windows Server 2025 OEM licenses.

The only incompatibility is application support, which currently requires Windows Server 2022.

No Hyper-V virtualization is being used; the environment is based entirely on Proxmox VE.

    Yes, the customer is entitled to run Windows Server 2022 under the downgrade rights of their Windows Server 2025 Standard OEM licenses, provided the Windows Server 2025 licenses remain properly assigned to the licensed physical servers and all virtualization rights are observed. The fact that the hypervisor is Proxmox is not relevant from a licensing perspective; Microsoft licenses the Windows Server workloads, not the hypervisor platform.

    The Windows Server 2025 OEM product key is not expected to activate a Windows Server 2022 installation directly. Downgrade rights grant the right to use the earlier version, but they do not automatically provide a compatible activation key for that version. Microsoft's licensing guidance specifically states that downgrade rights do not include older media or product keys.

    For OEM licenses, the supported and official process is to obtain Windows Server 2022 installation media and a corresponding downgrade activation key from the OEM hardware manufacturer (Dell, HPE, Lenovo, etc.) or through an OEM downgrade kit if offered by that vendor. Microsoft generally does not provide OEM downgrade media or replacement OEM keys directly; the OEM is the primary support channel for downgrade fulfillment and activation assistance.

    If online activation of the Windows Server 2022 VM fails after installation with the downgrade key, telephone activation may be required. In summary: contact the OEM manufacturer first, request the Windows Server 2022 downgrade media/key package, install Windows Server 2022 in the Proxmox VMs, and use the supplied downgrade activation method rather than the Windows Server 2025 OEM key.
