I too had this problem… here is how I resolved the issue using the “manual” installation method on my Windows XP SP3 32-bit (x86) computer.

Download Microsoft .NET Framework Version 1.1 (dotnetfx.exe) via:

http://www.microsoft.com/en-us/download/details.aspx?displaylang=en&id=26

Download KB2742597 (NDP1.1sp1-KB2742597-X86.exe) via:

http://www.microsoft.com/en-us/download/details.aspx?id=36281

Using the compression tool (WinRar, WinZip, etc) of your choice, extract the dotnetfx.exe file to an empty folder – when extracted this folder should contain the following five files: install.exe, InstMsi.exe, InstMsiW.exe, netfx.msi and netfx1.cab.

Run the NDP1.1sp1-KB2742597-X86.exe file which you downloaded.

Follow the installation prompts – when prompted to insert the Microsoft .NET Framework Version 1.1 CD, click browse and navigate to the folder containing the files extracted from dotnetfx.exe, select netfx.msi, click okay then continue with the installation.

This should, if you are having what I assume is a missing file(s) issue, lead to a successful update of KB2742597.

Addendum

If you encountered problems and/or want to try an alternate method to resolve this issue, try reinstalling Microsoft .NET Framework Version 1.1 via the dotnetfx.exe file, then installing the update (NDP1.1sp1-KB2742597-X86.exe).

NOTE: Be sure to use files in the same language (English with English, Spanish with Spanish, Russian with Russian, etc) – doing otherwise will, in all probability, cause installation errors and an unsuccessful update.

    I appreciate your instructtions but I am still unable to install KB2742597 (Unable to install KB2742597 update manually or via Microsoft Update)  using both primary and addendum instructions.

    Any other suggestions??  This is soooooo frustrating!!!!!!

    Could Microsoft comment???

    I am having a similar problem with MS update KB2742596 not installing.  Does anyone know how to fix this issue after having tried all the recommended things that Microsoft posts as general info for update failures?  I have run Microsoft fixit, and tried to install by downloading the update and installing from my desktop, nothing seems to work.

    Thank you for the reply, Dover Miller. 

    Eventually the update KB2742597 has been installed (as I already posted elsewhere) by using the complete uninstallation of all versions of the .NET Framework, and then I reinstalled them all back again, exactly as it is described in the link:

    http://support.microsoft.com/kb/976982#method2 in the Method 2: Repair the .NET Framework.

    The first part "Repair .NET Framework 4 Client Profile to its original state" did not work for me.

    The problem was resolved by the extended and complete clearing of all versions by following all steps in repair the .NET Framework 1.1, 2.0, 3.0, 3.5, use the .NET Framework Cleanup Tooletc.

    Just for the record and also for helping others, I'll give more information:

    • The manual installation method by perryep, did not work, since I could not run NDP1.1sp1-KB2742597-X86.exe. I am running Windows XP Pro as Administrator, and I had installed Net 1.1. Then I followed all steps carefully, and I could see the 5 files of dotnetfx.exe. During the installation of NDP1.1sp1-KB2742597-X86.exe I was never prompt  to insert netfx.msibecause the installation was automatically closed after giving the message "preparing to install". No way to proceed further....
    • Moreover, the Method 1: Fix MSI software update registration corruption issuesof this page: http://support.microsoft.com/kb/976982 did not work either, since Microsoft Fix it 50123is in .diagcab format, which is totally useless for Windows XP.

    Is it necessary to have Net framework 1.1 installed when I am using Sp 3 ? Can I delete it from my  add an remove programs.
